1. Introduction
Welcome to TiwaStore.
These Terms and Conditions govern your access to and use of the TiwaStore website, platform, software, online store services, templates, tools, features and related services available through https://tiwastore.com/ and any associated websites, applications or services operated by us.
In these Terms:
- “TiwaStore,” “we,” “us,” or “our” means Tiwa Store brand.
- “Platform” means the TiwaStore website, software, store-building tools, hosting services, dashboards, integrations and related services.
- “User,” “you,” or “your” means any person or organisation accessing or using the Platform.
- “Merchant” means a business or individual using TiwaStore to create, operate or manage an online store.
- “Customer” means an individual or organisation purchasing products or services from a Merchant through a TiwaStore-powered website.
- “Merchant Store” means an online store created, hosted or operated using the TiwaStore Platform.
- “Content” means text, images, videos, product information, logos, trademarks, documents, files and other material uploaded, submitted or displayed through the Platform.
By accessing the Platform, creating an account, starting a free trial, purchasing a subscription or using any TiwaStore service, you confirm that you have read, understood and agreed to these Terms.
Where you use TiwaStore on behalf of a company, partnership or other organisation, you confirm that you have authority to legally bind that organisation.
You must not use the Platform if you do not agree to these Terms.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to create a TiwaStore account or purchase a subscription.
By creating an account, you confirm that:
- the information you provide is accurate, complete and current;
- you have authority to operate the business connected to the account;
- your use of TiwaStore will comply with all applicable laws and regulations; and
- you are not prohibited from receiving or using our services under any applicable law.
We may request information or documentation to verify your identity, business, authority or eligibility.
3. TiwaStore Services
TiwaStore provides tools and services that may enable Merchants to:
- create and customise an online store;
- display products and product information;
- organise product categories;
- receive and manage customer orders;
- connect supported payment services;
- manage product information and inventory;
- configure delivery or collection options;
- access website hosting and technical infrastructure;
- use store templates and design tools;
- access search engine optimisation features;
- use marketing, analytics or promotional tools;
- connect approved third-party services;
- receive customer support; and
- access other features made available from time to time.
The features available to you may depend on your subscription plan, location, store configuration and any third-party services you choose to use.
We may add, remove, update, improve, suspend or modify Platform features where reasonably necessary to improve the service, maintain security, comply with legal requirements or respond to technical or commercial changes.
We will take reasonable steps to avoid materially reducing the core functionality of an active paid subscription without notice.
4. TiwaStore Is a Technology Platform
TiwaStore provides eCommerce technology and related services.
Unless expressly stated otherwise, TiwaStore:
- does not own products listed by Merchants;
- does not manufacture, supply, store or deliver Merchant products;
- is not the seller of products displayed on Merchant Stores;
- does not control the quality, safety, legality or accuracy of Merchant products;
- is not responsible for fulfilling Merchant orders;
- is not responsible for a Merchant’s customer service;
- does not guarantee the availability of Merchant products;
- does not become a party to a sales contract between a Merchant and a Customer; and
- is not responsible for disputes between Merchants and their Customers.
The Merchant is the seller of all products or services offered through its Merchant Store unless another seller is clearly identified.
Each Merchant is responsible for complying with all laws applicable to its products, business, advertising, sales, customers and operating locations.
5. Account Registration
Some Platform features require a TiwaStore account.
You agree to provide accurate and complete registration information and to keep your information updated.
You are responsible for:
- maintaining the confidentiality of your username and password;
- using strong and secure login credentials;
- controlling access to your account;
- ensuring that authorised employees, contractors and representatives use the Platform appropriately;
- all activities carried out through your account; and
- notifying us promptly if you suspect unauthorised access, fraud or a security breach.
You must not share your login credentials with unauthorised persons.
We may suspend access to an account where we reasonably believe that it has been compromised or is being used unlawfully.
6. Free Trials
We may offer free trials for certain TiwaStore services.
The duration, features and limitations of a free trial will be displayed when you register.
Unless stated otherwise:
- a free trial may be limited to one trial per person, business or organisation;
- some functionality may be unavailable during the trial;
- you may be required to select a paid plan to continue using the Platform after the trial;
- your Merchant Store may be suspended or unpublished after the trial expires if no paid subscription is activated; and
- we may modify or withdraw free-trial offers at any time.
Where payment details are required before beginning a trial, we will explain whether the subscription automatically converts into a paid plan.
7. Subscription Plans
TiwaStore may provide monthly, annual or other subscription plans.
The features, limits, prices and billing intervals applicable to each plan will be displayed on our Pricing page or during checkout.
Subscription features may include limits relating to:
- products;
- storage;
- staff accounts;
- website features;
- support levels;
- integrations;
- transaction volume;
- customisation;
- marketing functionality; or
- other Platform resources.
You are responsible for selecting a plan suitable for your business needs.
We may introduce new plans or amend existing plans. Changes to an existing paid subscription will be communicated where required and will normally apply from the next renewal date.
8. Fees and Payment
You agree to pay all fees associated with your selected subscription and any additional services you purchase.
Unless stated otherwise:
- fees are charged in the currency displayed during checkout;
- prices may exclude applicable taxes;
- you are responsible for any applicable VAT, sales tax, withholding tax or similar charges;
- subscription fees are payable in advance;
- payment must be made through a supported payment method;
- you authorise us and our payment providers to charge the payment method connected to your account; and
- you are responsible for keeping your billing information current.
We do not directly store complete payment card details where payment processing is handled by an authorised third-party payment provider.
If a payment fails, we may:
- retry the payment;
- request an alternative payment method;
- restrict access to paid features;
- suspend your Merchant Store;
- downgrade your account; or
- terminate the subscription after reasonable notice.
You remain responsible for unpaid amounts incurred before suspension or termination.
9. Automatic Renewal
Where automatic renewal applies, your subscription will renew at the end of each billing period unless cancelled before the renewal date.
Your payment method may be charged the applicable renewal fee automatically.
We will provide information about the billing period and renewal terms during checkout.
You can cancel future renewal through your account dashboard where this feature is available or by contacting us.
Cancellation prevents future renewal but does not automatically create a right to a refund for the current billing period.
10. Cancellation and Refunds
You may cancel your subscription at any time through your account dashboard or by contacting us.
Unless otherwise required by applicable law or expressly stated in a written refund policy:
- subscription fees already paid are non-refundable;
- cancellation takes effect at the end of the current paid billing period;
- you may continue using paid features until the end of that billing period;
- no partial refund or credit will be provided for unused time;
- promotional, discounted or setup fees may be non-refundable; and
- cancellation does not remove amounts already due.
Where we provide custom design, setup, migration, development or professional services, separate cancellation and refund terms may apply.
Nothing in these Terms limits any statutory cancellation or refund rights that cannot legally be excluded.
11. Merchant Responsibilities
Each Merchant is solely responsible for operating its Merchant Store.
You are responsible for:
- ensuring that your business is properly registered or licensed where required;
- complying with food safety, product safety and consumer protection requirements;
- complying with labelling, allergen and ingredient disclosure requirements;
- providing accurate product descriptions;
- displaying accurate product prices;
- managing taxes and tax reporting;
- maintaining accurate inventory information;
- processing and fulfilling orders;
- arranging delivery, shipping or collection;
- handling returns, refunds, complaints and customer service;
- issuing receipts or invoices where required;
- protecting your customer information;
- maintaining your own privacy policy, cookie policy and customer terms;
- obtaining any required marketing consent;
- complying with advertising rules;
- obtaining licences, certifications and approvals applicable to your products;
- ensuring that imported products comply with applicable laws; and
- complying with the laws of every country or region in which you sell.
You must clearly display your business identity and contact information on your Merchant Store.
12. Food and Grocery Merchants
Where you sell food, beverages, ingredients, supplements or grocery products, you are responsible for ensuring that all listings and products comply with applicable laws.
This may include requirements relating to:
- ingredient information;
- allergen information;
- nutritional information;
- product labels;
- expiry or best-before dates;
- storage requirements;
- food hygiene;
- food handling;
- import requirements;
- product traceability;
- product recalls;
- regulated health claims;
- packaging;
- delivery temperatures; and
- licences or registrations.
TiwaStore does not verify the ingredients, safety, authenticity, legality or regulatory compliance of Merchant products.
13. Customer Orders
A Customer’s order is made directly with the relevant Merchant.
The Merchant is responsible for determining:
- when an order is accepted;
- whether products are available;
- whether an order can be fulfilled;
- applicable delivery charges;
- delivery timeframes;
- refund eligibility;
- cancellation rights; and
- the terms of the sale.
TiwaStore may provide technology that sends order confirmations or notifications, but such notifications do not make TiwaStore the seller.
14. Payment Processing for Merchant Stores
TiwaStore may enable Merchants to connect third-party payment gateways or payment service providers.
Payment processing is subject to the separate terms, verification requirements and privacy practices of the relevant provider.
You acknowledge that:
- payment providers may require identity or business verification;
- payment providers may charge transaction, processing, conversion or withdrawal fees;
- payment providers may hold, delay, reverse or refuse transactions;
- payment providers may investigate suspected fraud;
- TiwaStore does not control payment provider decisions; and
- you are responsible for disputes, refunds and chargebacks relating to your customers.
Unless expressly stated otherwise, TiwaStore does not receive, hold or control customer funds paid to Merchants.
15. Transaction Fees
Certain subscription plans may include TiwaStore platform fees, transaction fees or usage-based charges.
Any applicable charges will be disclosed on the Pricing page, during checkout or through your account.
Third-party payment processing fees are separate unless expressly stated otherwise.
16. Delivery and Shipping
Merchants are responsible for arranging delivery, shipping, collection and order fulfilment.
TiwaStore may provide shipping integrations, delivery settings or access to third-party delivery providers.
We do not guarantee:
- delivery availability;
- delivery pricing;
- delivery times;
- successful collection;
- courier performance;
- product condition during delivery; or
- availability of any third-party logistics provider.
Any delivery agreement is between the Merchant, Customer and applicable delivery provider.
17. Merchant Content
You retain ownership of Content that you upload to the Platform.
By uploading or submitting Content, you grant TiwaStore a worldwide, non-exclusive, royalty-free licence to host, store, copy, reproduce, format, adapt, display and transmit that Content only as reasonably necessary to:
- provide the Platform;
- operate your Merchant Store;
- display your products;
- provide customer support;
- maintain security;
- improve Platform functionality; and
- promote your store where you have authorised us to do so.
You confirm that:
- you own the Content or have permission to use it;
- the Content does not infringe intellectual-property rights;
- the Content is accurate and lawful;
- you have obtained necessary consent from any identifiable individuals appearing in the Content; and
- TiwaStore’s permitted use of the Content will not violate the rights of another person.
18. Prohibited Products and Activities
You must not use TiwaStore to sell, promote or distribute unlawful, unsafe or prohibited products.
Prohibited activities may include:
- illegal drugs;
- counterfeit goods;
- stolen goods;
- unlawful weapons;
- illegal or unlicensed medicines;
- products that infringe intellectual-property rights;
- fraudulent products;
- unlawfully imported products;
- products subject to an active safety recall;
- products intended to facilitate criminal activity;
- illegal wildlife products;
- unlawfully obtained personal information;
- malware or malicious software;
- deceptive financial schemes;
- illegal gambling services;
- exploitative or abusive content; or
- any product prohibited by law or our payment and service providers.
We may publish additional Acceptable Use or Prohibited Products rules.
We may remove Content or suspend a Merchant Store where we reasonably believe that a product or activity is unlawful, unsafe, fraudulent or harmful.
19. Acceptable Use
You must not:
- use the Platform unlawfully;
- commit or facilitate fraud;
- impersonate another person or organisation;
- upload malware or harmful code;
- attempt unauthorised access to systems or accounts;
- interfere with Platform security;
- scan or test the Platform for vulnerabilities without written permission;
- overload Platform infrastructure;
- scrape or extract Platform data without permission;
- send spam;
- conduct phishing;
- publish misleading information;
- violate privacy rights;
- infringe intellectual-property rights;
- harass, threaten or abuse others;
- use the Platform to distribute unlawful content;
- conceal prohibited activity;
- reverse-engineer Platform software except where legally permitted; or
- assist another person in violating these Terms.
20. Intellectual Property
The TiwaStore Platform and its original materials are owned by or licensed to TiwaStore.
This includes:
- software;
- source code;
- platform design;
- layouts;
- templates;
- graphics;
- documentation;
- databases;
- trademarks;
- logos;
- icons;
- written materials;
- videos; and
- TiwaStore branding.
We grant you a limited, non-exclusive, non-transferable and revocable right to use the Platform during your active subscription and in accordance with these Terms.
You may not copy, sell, distribute, sublicense or commercially exploit TiwaStore technology without written permission.
21. TiwaStore Branding
Certain subscription plans may display TiwaStore branding on Merchant Stores.
You may remove TiwaStore branding only where your plan expressly permits it.
You may not use TiwaStore trademarks, logos or branding in a way that:
- suggests an unauthorised partnership;
- misrepresents our involvement;
- damages our reputation; or
- breaches our brand guidelines.
22. Domains
Depending on your subscription, you may connect an existing domain or obtain domain-related services through TiwaStore or a third-party provider.
You are responsible for:
- domain registration information;
- domain renewal fees;
- maintaining access to your registrar account;
- complying with registrar rules;
- avoiding trademark infringement; and
- renewing your domain before expiry.
We are not responsible for domain loss caused by expired registration, incorrect information, registrar action, user error or circumstances outside our reasonable control.
23. Third-Party Services
The Platform may connect with third-party services, including:
- payment providers;
- delivery providers;
- analytics services;
- marketing platforms;
- domain registrars;
- email providers;
- social-media services;
- product feeds;
- plugins; and
- external applications.
Third-party services are governed by their own terms and privacy policies.
We do not control and are not responsible for:
- third-party availability;
- third-party fees;
- changes to third-party services;
- third-party security;
- third-party data practices;
- third-party account suspensions; or
- losses caused by third-party services.
24. Platform Availability
We aim to provide a reliable Platform but do not guarantee uninterrupted or error-free availability.
The Platform may be unavailable because of:
- maintenance;
- software updates;
- security work;
- infrastructure issues;
- internet failures;
- third-party outages;
- cyberattacks;
- events outside our reasonable control; or
- emergency technical work.
We may perform scheduled maintenance and will provide notice where reasonably practical.
25. Backups and Data
We may maintain backups for operational resilience, but backups are not guaranteed to contain every version of your Content.
You are responsible for retaining independent copies of important business information, including:
- product information;
- customer records;
- financial records;
- order records;
- images;
- website Content; and
- legally required documents.
26. Support
Support availability depends on your subscription plan.
Support may be provided through:
- email;
- support tickets;
- live chat;
- telephone;
- documentation;
- tutorials; or
- other channels.
Support response times are estimates unless a separate service-level agreement applies.
General support does not include unlimited custom development, legal advice, tax advice, regulatory advice or third-party technical support.
27. Suspension
We may suspend or restrict your account where reasonably necessary because:
- payment is overdue;
- you breach these Terms;
- your activity creates a security risk;
- fraud is suspected;
- your account is compromised;
- your use may harm the Platform;
- we receive a valid legal request;
- your Content may be unlawful;
- continued service may expose us or others to liability; or
- a third-party provider requires suspension.
Where appropriate, we will provide notice and an opportunity to resolve the issue.
We may act immediately where necessary to prevent fraud, security incidents, unlawful activity or serious harm.
28. Termination
You may stop using TiwaStore and cancel your subscription at any time.
We may terminate your account where:
- you materially breach these Terms;
- you repeatedly violate Platform policies;
- you fail to pay applicable fees;
- your activity is unlawful or fraudulent;
- continued service creates material legal or security risk; or
- we discontinue the relevant service.
Upon termination:
- your right to use the Platform ends;
- your Merchant Store may become unavailable;
- unpaid amounts remain payable;
- Platform licences granted to you end; and
- we may delete or anonymise account information in accordance with our Privacy Policy and legal obligations.
You should export information you require before termination.
29. Disclaimer
The Platform is provided on an “as available” basis.
To the maximum extent permitted by law, we do not guarantee that:
- the Platform will always be available;
- all features will be error-free;
- every Merchant Store will generate sales;
- your business will achieve a particular result;
- search-engine rankings will improve;
- third-party integrations will remain available;
- customers will purchase your products; or
- your use of the Platform will satisfy every legal requirement applicable to your business.
You remain responsible for your business decisions and legal compliance.
Nothing on the Platform constitutes legal, financial, tax, accounting, food-safety or regulatory advice.
30. Limitation of Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
To the maximum extent permitted by law, TiwaStore will not be liable for:
- loss of profits;
- loss of revenue;
- loss of sales;
- loss of customers;
- loss of business opportunities;
- loss of goodwill;
- loss of anticipated savings;
- loss of data;
- business interruption;
- indirect loss;
- consequential loss;
- Merchant product claims;
- customer disputes;
- delivery failures;
- payment-provider actions;
- chargebacks;
- third-party service failures; or
- unlawful use of the Platform by a Merchant.
Subject to applicable law, our total liability arising from the Platform will not exceed the total subscription fees paid by you to TiwaStore during the 12 months immediately preceding the event giving rise to the claim.
31. Indemnity
To the extent permitted by law, you agree to indemnify TiwaStore against claims, losses, liabilities, damages and reasonable costs arising from:
- your Merchant Store;
- your products or services;
- your Content;
- your breach of these Terms;
- your violation of applicable law;
- your customer disputes;
- product safety claims;
- food or allergen claims;
- intellectual-property infringement;
- your misuse of customer information; or
- fraud or misconduct connected to your account.
32. Consumer Rights
Nothing in these Terms excludes, restricts or limits rights that cannot lawfully be excluded.
Where consumer law applies to your purchase of TiwaStore services, mandatory statutory rights remain unaffected.
33. Changes to These Terms
We may update these Terms to reflect:
- changes to the Platform;
- legal or regulatory developments;
- security requirements;
- new services;
- changes to third-party services; or
- operational requirements.
We will update the “Last updated” date when changes are published.
Where a change materially affects an active paid subscription, we will provide reasonable notice where required.
Continuing to use the Platform after updated Terms become effective constitutes acceptance of the updated Terms.
34. Notices
We may send notices through:
- email;
- your account dashboard;
- Platform notifications; or
- our website.
You are responsible for keeping your contact information current.
35. Governing Law
These Terms are governed by the laws of ENGLAND AND WALES.
The courts of ENGLAND AND WALES will have jurisdiction over disputes, except where applicable consumer law provides otherwise.
36. General Provisions
If any part of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.
Our failure to enforce a right does not waive that right.
You may not transfer your rights under these Terms without our written consent.
We may transfer our rights and obligations as part of a merger, restructuring, financing, acquisition or sale of the business.
These Terms, together with referenced policies and any applicable order terms, form the agreement between you and TiwaStore regarding use of the Platform.
